Keyera falls after Canadian antitrust agency challenges deal for Plains unit

Keyera Corp. (KEY:CA [https://seekingalpha.com/symbol/KEY:CA]) (KEYUF [https://seekingalpha.com/symbol/KEYUF]) dropped 4% after Canada's Competition Bureau filed an application to challenge the proposed acquisition of Plains All American Pipeline's (PAA [https://seekingalpha.com/symbol/PAA]) (PAGP [https://seekingalpha.com/symbol/PAGP]) Canadian natural gas liquids business.
The Canadian antitrust agency is challenging the deal because it claims it would reduce competition at Canada's “most important” natural gas liquids hub at Fort Saskatchewan, Alberta, hurting Canadian energy producers and increasing costs across the supply chain, according to a statement [https://www.canada.ca/en/competition-bureau/news/2026/05/competition-bureau-challenges-keyeras-proposed-acquisition-at-a-critical-canadian-energy-hub.html] from the regulator on Tuesday. The agency filed an application with the Competition Tribunal challenging the combination.
Plains All American Pipeline (PAA [https://seekingalpha.com/symbol/PAA]) in June agreed to sell virtually all its Canadian natural gas liquids [https://seekingalpha.com/news/4459155-plains-all-american-to-sell-canadian-ngl-business-to-keyera-in-375b-deal] business to Keyera (KEYUF [https://seekingalpha.com/symbol/KEYUF])) for ~C$5.15B (US$3.75B) in cash.
The Competition Bureau found the transaction would eliminate Plains (PAA [https://seekingalpha.com/symbol/PAA]) as a close competitor in Fort Saskatchewan, Alberta; reduce the number of major competitors from three to two; give the combined company greater ability to increase prices and impose less favorable contract terms.
Keyera (KEYUF [https://seekingalpha.com/symbol/KEYUF]) said in response to the Canadian antitrust regulator that the challenge doesn't prevent the company's ability to close the deal.
"The Company disagrees with the Commissioner's assertions and characterization of the Transaction, and intends to respond to the application," Keyera said in a statement.
